These Terms of Service ("Terms") form a binding agreement between Crane Startups LLC, a Maryland limited liability company ("Vendor", "we", "us"), and the company or individual subscribing to the InjectionERP service ("Customer", "you").
Vendor grants Customer a non-exclusive, non-transferable, revocable license to access and use the InjectionERP software ("Service") solely for Customer's internal business operations during the period for which Customer has paid the applicable subscription fees.
Vendor retains all right, title, and interest in and to the Service, including all source code, designs, trade secrets, trademarks, and any improvements or derivative works. No source code or proprietary materials are licensed to Customer. Customer receives only the right to USE the Service as a hosted product.
All data Customer enters into the Service (production logs, purchase orders, operator records, etc.) belongs to Customer. Vendor will provide Customer with a reasonable export of Customer Data on request and on termination of the subscription.
Customer agrees to pay the recurring subscription fee as displayed at signup. Fees are billed in advance via Stripe. Failure to pay may result in suspension or termination of the Service.
Either party may terminate this agreement with thirty (30) days' written notice (email is sufficient). On termination, Customer's access ends and Vendor will delete Customer Data within ninety (90) days unless Customer requests an export first.
To the maximum extent permitted by law, Vendor's aggregate liability under these Terms shall not exceed the fees paid by Customer in the twelve (12) months immediately preceding the claim. Vendor is not liable for indirect, consequential, or incidental damages.
These Terms are governed by the laws of the State of Maryland, USA, without regard to conflict-of-law principles.
Vendor may update these Terms from time to time. Material changes will be communicated by email at least 30 days in advance.
